We have been providing advice on overseas investment into Myanmar since the 1990s. We opened our Yangon office, Myanmar Legal MHM, in April 2014. Myanmar Legal MHM has a team of experienced Myanmar-qualified lawyers and internationally qualified lawyers with on-the-ground experience. Our team includes senior Japanese lawyers who are partners of our firm and have significant experience in finance, corporate, M&A, international disputes and compliance matters relating to Myanmar, and experienced Myanmar lawyers, including our Senior Myanmar Legal Adviser, Daw Khin Cho Kyi, who is a seasoned and skillful practitioner with more than over 40 years of legal experiences in Myanmar. In addition to Daw Khin Cho Kyi, we have a highly qualified team of Myanmar lawyers (including Myanmar lawyers who have undertaken postgraduate study in Japan). Our team also includes lawyers qualified in Australia, England and Wales and Thailand. Our team is experienced in assisting Japanese corporations to enter and conduct business in Myanmar, including trading companies, financial institutions and companies undertaking manufacturing, services, real estate and logistics and other businesses.
We have advised on some of the most prominent transactions in Myanmar, including the acquisition of Myanmar’s largest manufacturer of daycare products by Unicharm, the first full-scale M&A deal by a foreign investor in Myanmar, as well as the acquisition of a majority stake in the Myanmar’s largest brewing company by a foreign investor. We have also advised on a number of infrastructure development projects and project financing transactions.
Recently, we have supported a number of clients in responding to the changed circumstances in Myanmar including assisting with divestments, withdrawals and other strategic responses. We have also supported clients with cross-border litigations and arbitrations involving Myanmar (including by providing expert opinions on Myanmar law) and other compliance and disputes matters.
Our firm has been actively working to assist Myanmar in updating its laws and regulations in accordance with international best practice, to facilitate economic development in Myanmar. Our lawyers were also engaged in the development of securities laws and regulations in Myanmar as members of the Japanese Ministry of Finance’s Working Group for Myanmar’s Capital Market Development. We advised Japan Exchange Group, Inc. and Daiwa Institute of Research Ltd. on their joint venture with the Myanmar Economic Bank to establish the Yangon Stock Exchange, and serve as advisors to the management committee of the Thilawa Special Economic Zone. With such experience, our lawyers are well placed to advise clients on the rapidly changing laws and business practices of Myanmar.
